Shen Holistic Academy: Instructor Agreement

 

This Instructor Agreement ("Agreement") is made between Shen Holistic Academy ("the Academy") and the instructor ("the Instructor"). The Instructor is an independent contractor who is a practitioner, educator, and content creator in their professional field. This Agreement governs the Instructor's relationship with the Academy, outlining their rights, responsibilities, and the terms of their partnership.

 

1. Partnership & Philosophical Alignment

 

The Academy and the Instructor agree to enter into a partnership with the shared mission of providing high-quality, professional continuing education. The Instructor affirms that their professional philosophy and the content of their courses align with the Academy's core values of a reverent, nature-centered practice, sustainable leadership, and the spiritual activation of practitioners.

 

2. Independent Contractor Status

 

The Instructor agrees that they are an independent contractor and not an employee of the Academy. The Instructor is solely responsible for all of their own taxes, business expenses, and liabilities. The Academy will not provide health insurance, workers' compensation, or any other benefits to the Instructor.

 

3. Content and Intellectual Property

 

  • Ownership: The Instructor retains full ownership of all intellectual property, including all course content, videos, documents, and materials they create and provide to the Academy.

  • License and Exclusivity: The Instructor grants the Academy an exclusive, worldwide license to host, market, promote, and sell their course(s) on the Academy's platform. The Instructor agrees not to offer, license, or sell the same course content on any other platform, website, or marketplace for the duration of this Agreement.

  • Warranties: The Instructor represents and warrants that all course content provided is original, does not infringe upon any third-party copyrights or intellectual property, and is factually accurate and complete to the best of their knowledge.

4. Course Offerings & Certification

 

  • Hosting: The Academy will host the Instructor's courses on the Kajabi platform.

  • Certification: All courses offered for continuing education will be hosted under the approved provider status of Sahara Sun, licensed under her legal name, Jennifer H Vires. The Instructor acknowledges that Sahara Sun will be the signatory on all CEU certificates issued for their courses, which is a requirement for maintaining the Academy's accreditation.

  • Accuracy: The Instructor is responsible for ensuring that all course content is compliant with the standards and requirements of the relevant licensing boards and accrediting bodies.

 

5. Financial Terms & Payment

 

  • Commission: The Academy operates on a tiered commission structure based on the level of support provided for course development and marketing. The specific commission rate for each offering will be determined on a case-by-case basis and will be outlined in the final Instructor Agreement. All payments will be processed through the Academy's business account, and a portion of the net revenue will be automatically disbursed to the instructor's designated business account on a predetermined schedule.

     

    Financial Terms & Payment

     

    The Academy operates on a tiered commission structure based on the level of support provided for course development and marketing. The specific commission rate for each offering will be determined on a case-by-case basis and will be outlined in the final Instructor Agreement. All payments will be processed through the Academy's business account, and a portion of the net revenue will be automatically disbursed to the instructor's designated business account on a predetermined schedule.

  • Payment Schedule: Payments will be disbursed to the Instructor on a [e.g., "monthly," "quarterly"] basis, within [e.g., "30"] days of the end of the payment cycle. Payments will be made via [e.g., "PayPal" or "direct deposit"] to the business account provided by the Instructor.

  • Tax ID: The Instructor agrees to provide their Tax ID (EIN or SSN) for tax reporting purposes.

 

6. Confidentiality

 

The Instructor agrees to maintain the confidentiality of all non-public information related to the Academy's business operations, including but not limited to financial data, marketing strategies, and student information. The Academy agrees to protect the confidentiality of the Instructor's proprietary course materials and professional information.

 

7. Termination of Agreement

 

This Agreement may be terminated by either party with [e.g., "30"] days' written notice. Upon termination, the Academy will cease selling the Instructor's course(s), and the Instructor will be paid all outstanding commissions owed up to the date of termination.

 

8. Governing Law

 

This Agreement shall be governed by the laws of the State of Hawaii. Any disputes arising from this Agreement will be resolved in the courts of Hawaii.
